Terms of service
Last updated: 12 October 2026
These terms apply to every offer by and agreement with [Legal name B.V.], registered with the Dutch Chamber of Commerce under number [KvK number] ("Mandistry", "we"), for the use of the Mandistry service.
1. Definitions
- Service: the hosted Mandistry platform for creating and running AI agents, including the website, app and APIs.
- Customer: the legal entity or professional that enters into an agreement with us.
- User: a person the customer gives access to the service.
- Customer data: all data the customer, its users or its agents put into or generate with the service.
- Agent: an AI agent the customer configures in the service.
2. Applicability
- The service is intended for businesses only. By entering into an agreement the customer confirms it acts in the course of a profession or business.
- These terms apply to all offers, agreements and use of the service. The customer's own general terms do not apply.
- Our data processing agreement forms part of these terms.
3. Account and trial
- The customer is responsible for the accuracy of its account details and for keeping login details confidential.
- A free trial lasts 14 days. After the trial, the service continues only if the customer chooses a paid plan.
4. The service
- We make reasonable efforts to keep the service available, secure and working, but do not guarantee uninterrupted operation. We announce planned maintenance in advance where possible.
- We may develop and change the service. We will not materially reduce the core functionality of a paid plan during a billing period.
- Plan limits (such as agents, seats, runs and sandbox hours) are listed on the pricing page.
5. Agents, models and the customer's responsibility
- The customer connects its own AI model providers (API keys or subscriptions) and is responsible for its agreements with, and costs charged by, those providers.
- Agents act on the customer's instructions and with the tools, permissions and approval policies the customer configures. The customer is responsible for that configuration and for the actions agents take with it.
- Output generated by AI models may be incorrect or incomplete. The customer is responsible for checking output before relying on it.
- The customer will not use the service for unlawful purposes, to infringe third-party rights, to send spam, to attack systems, or in violation of the usage policies of the model providers it connects.
- We may suspend an agent or account if there is a serious suspicion of misuse or a security risk, and will inform the customer promptly.
6. Prices and payment
- Prices are in euros and exclude VAT unless stated otherwise. Model usage is not included.
- Subscriptions are billed monthly in advance. Payment is due within 14 days of the invoice date, or collected automatically if the customer chose automatic payment.
- If payment is late, we may send a reminder and, if payment does not follow, suspend the service after prior notice.
- We may change prices with at least 30 days' notice. The customer may then cancel before the new price takes effect.
7. Term and termination
- Subscriptions run per calendar month and renew automatically each month.
- The customer can cancel at any time in its account settings; the subscription then ends at the end of the current billing period. Fees already paid are not refunded.
- Either party may terminate the agreement with immediate effect if the other party is declared bankrupt or seriously fails to perform and does not remedy this within 14 days after written notice.
- After the agreement ends, the customer can export its data for 30 days. We then delete customer data as described in the DPA.
8. Customer data and intellectual property
- Customer data, and output generated by agents for the customer, belong to the customer. We do not use customer data to train AI models.
- All intellectual property rights in the service remain with us or our licensors. The customer receives a non-exclusive, non-transferable right to use the service during the agreement.
9. Liability
- Our total liability per event is limited to the fees the customer paid us in the three months before the event.
- We are not liable for indirect damage, including lost profit, lost data, business interruption, or damage caused by actions of agents taken within the configuration chosen by the customer.
- These limitations do not apply in case of intent or deliberate recklessness of our management.
- A claim lapses if not reported to us in writing within 12 months after the customer became aware of the damage.
10. Force majeure
We are not liable for failures caused by circumstances beyond our control, including failures of model providers, hosting providers, internet connections or energy supply.
11. Changes to these terms
We may change these terms. We announce material changes at least 30 days in advance; if the customer does not agree, it may cancel before the change takes effect.
12. Governing law and disputes
Dutch law applies. Disputes are submitted exclusively to the competent court in [City].
